Terms and Conditions

This Terms of Use (hereinafter referred to as "this Agreement") sets forth the conditions of use of KanjiQuest LAB, a service provided by KanjiQuest (hereinafter referred to as "We"), and the relationship of rights and obligations between the user and us.
By using the Services under this Agreement, you agree to be bound by these Terms and Conditions after having read them in their entirety.

Article 1 (Definitions)

The following terms used in this Agreement shall have the meanings set forth below.

(1) "Service" means the service named KanjiQuest LAB (in the event that the name or content of the service is changed for any reason, including the service after such change) in which the Company provides video content to users.

(2) "Service Usage Contract" means a contract for the use of the Service between us and a Registered User, which is concluded under the terms and conditions of this Agreement.

(3) "Registered User" means an individual or legal entity that has been registered as a user of the Service in accordance with Article 3 (Registration).

(4) "Intellectual Property Rights" means copyrights, patents, utility model rights, design rights, trademarks, know-how, and other intellectual property rights (including the right to acquire such rights or to apply for registration of such rights).

Article 2 (Application)

1. The purpose of this Agreement is to set forth the terms and conditions of the Service and the relationship of rights and obligations between we and registered users regarding the use of the Service, and shall apply to all relationships between registered users and us regarding the use of the Service.

2. The fee schedule, method of payment and other rules regarding the use of the Service (https://info.kanjiquestlab.com/payment) posted by us on its website shall constitute

3. In the event of any discrepancy between the contents of this Agreement and the rules and other explanations of the Service, etc. outside of this Agreement, the provisions of this Agreement shall prevail.

Article 3 (Registration)

1. A person who wishes to use the Service (hereinafter referred to as "Applicant") may apply for registration to use the Service by agreeing to abide by these Terms of Use and providing certain information determined by us (hereinafter referred to as "Registration Items") to the Company in a manner determined by us.

2. In accordance with our criteria, we will determine whether or not to register the applicant who has applied for registration under Section 1 ("Applicant"), and if we approve the registration, we will notify the Applicant to that effect. The registration of the Applicant as a registered user shall be deemed to have been completed upon our giving of the notice in this section.

3. Upon completion of registration as specified in the preceding paragraph, a service use contract will be established between the registered user and us, and the registered user will be able to use the Service in accordance with these Terms of Use.

4. We may refuse registration or re-registration of an applicant for any of the following reasons, and shall not be obligated to disclose any reasons for such refusal.

(1) When there is a false statement, error, or omission in all or part of the registration information provided to us

(2) The customer is a minor, an adult ward, a person subject to conservatorship or assistance, and has not obtained the consent, etc. of a legal representative, guardian, conservator or assistant.

(3) If we determine that you are an anti-social force, etc. (meaning a crime syndicate, a member of a crime syndicate, a right-wing organization, an anti-social force, or any other equivalent), or that you are involved in any interaction or involvement with anti-social forces, etc. such as cooperation or involvement in the maintenance, operation or management of anti-social forces, etc. through the financial provision or otherwise.

(4) When we determine that the person is a person who has violated a contract with us in the past or is related to such a person.

(5) If the applicant has been subjected to measures stipulated in Article 9.

(6) Other cases in which we deem the registration is not appropriate.

Article 4 (Password and User ID Management)

1. Registered Users shall, at their own responsibility, properly manage and store their passwords and user IDs for the Service, and shall not allow any third party to use them, or lend, transfer, transfer, change the name of, sell, or otherwise dispose of them.

2. The registered user shall be responsible for any damages caused by inadequate management of the password or user ID, errors in use, or use by a third party.

Article 5 (Fees and Payment Methods for Paid Plans)

1. Registered Users shall pay us the usage fee separately determined by us and displayed on the website (https://info.kanjiquestlab.com/price/) as compensation for the provision of paid content based on the Service.

2. Registered Users shall pay the usage fees in the preceding paragraph by the date separately designated by us in the method designated by us.

3. If a registered user delays payment of the fees in the preceding paragraph, the registered user shall pay a late fee to us.

Article 6 (Prohibited Matters)

In using the Service, Registered Users shall not engage in any of the following acts, or any act that we deem to fall under any of the following items.

(1) Actions that violate laws and regulations or are related to criminal activities.

(2) Fraud or threats against us, other users of the Service, or other third parties.

(3) Acts against public order and morals.

(4) Any act that infringes on the intellectual property rights, portrait rights, rights of privacy, honor, or any other rights or interests of us, other users of the Service, or any other third party.

(5) Transmitting information that falls under any of the following or is deemed by us to fall under any of the following.

i. Information containing excessively violent or cruel expressions.

ii. Information containing computer viruses or other harmful computer programs.

iii. Information that includes expressions that may damage the reputation or credibility of us, other users of the Service, or other third parties.

iv. Information containing excessively obscene expressions.

v. Information containing expressions that promote discrimination.

vi. Information that includes expressions that encourage suicide or self-harm.

vii. Information containing expressions that promote the inappropriate use of drugs.

viii. Information containing antisocial expressions.

ix. Information that seeks to spread information to third parties, such as chain mail, etc.

(6) Actions that place an excessive load on the Service's network or system, etc.

(7) Reverse engineering or other analysis of software or other systems provided by us.

(8) Acts that may interfere with the operation of this service.

(9) Unauthorized access to our network or systems, etc.

(10) Impersonating a third party.

(11) Use of IDs or passwords of other users of the Service.

(12) Advertising, publicity, solicitation, or business activities on the Service that are not authorized in advance by us.

(13) Collection of information about other users of this service.

(14) Actions that cause disadvantage, damage, or discomfort to the Company, other users of the Service, or other third parties.

(15) Any act that violates the rules regarding the use of the Service posted by us on its website (https://info.kanjiquestlab.com/terms).

(16) Provision of benefits to antisocial forces, etc.

(17) Actions that directly or indirectly cause or facilitate any of the aforementioned actions.

(18) Attempting any of the preceding acts.

(19) Other actions that we deem inappropriate.

Article 7 (Suspension of this Service, etc.)

We reserve the right to suspend or discontinue all or part of the Service without prior notice to registered users in any of the following cases.

(1) In case of urgent inspection or maintenance of the computer system related to this service.

(2) When this service cannot be operated due to computer or communication line failures, mishandling, excessive concentration of access, unauthorized access, hacking, etc.

(3) When this service cannot be operated due to force majeure such as earthquake, lightning, fire, windstorm, flood, power outage, or natural disaster.

(4) Other cases in which we deem it necessary to suspend or discontinue the service.

Article 8 (Attribution of Rights)

1. All intellectual property rights related to the Service are the property of us or the party that has granted a license to us, and the permission to use the Service under this Agreement does not imply a license to use the intellectual property rights of us or the party that has granted a license to us related to the Service.

2. Registered Users agree not to exercise their moral rights of authorship against us and those who have succeeded to or been granted rights by us.

Article 9 (Cancellation of Registration, etc.)

1. In the event that a Registered User falls under any of the following items, we may temporarily suspend such Registered User's use of the Service or terminate his/her registration as a Registered User by giving notice to the Registered User.

(1) If you violate any of the provisions of these Terms and Conditions.

(2) When it is found that there is a false fact in the registration information.

(3) If Registered Users ceases to make payments or becomes insolvent, or a petition is filed for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or similar proceedings.

(4) If you do not respond to our inquiries or other communications requesting a response for 30 days or more.

(5) Cases falling under any of the items of Article 3, Paragraph 4.

(6) In any other case in which we deem it inappropriate for you to use the Service or to continue your registration as a registered user.

2. In the event of any of the events listed in the preceding paragraph, the registered user shall lose the benefit of time for all debts owed to us, and shall immediately pay all debts owed to us.

Article 10 (Withdrawal from Membership)

1. A registered user may withdraw from the Service and terminate his/her registration as a registered user upon completion of the procedures prescribed by us

.

2. Upon withdrawal from the membership, if there are any debts owed to us, the registered user shall lose the benefit of time for all debts owed to us, and shall immediately pay all debts owed to us.

3. The handling of user information after withdrawal from membership shall be in accordance with the provisions of Article 14.

Article 11 (Change or Termination of the Service)

1. We reserve the right to change the contents of the Service or terminate its provision at our convenience.

2. In the event that we terminate the provision of the Service, we shall notify registered users in advance.

Article 12 (Disclaimer of Warranty and Disclaimer of Liability)

1. We do not warrant that the Service will be suitable for any particular purpose of the registered user; that the Service will have the expected functions, commercial value, accuracy, and usefulness; that the use of the Service by the registered user will conform to the laws and regulations applicable to the registered user or the internal rules of any industry organization; that the Service can be used continuously; or that any defects will not occur. No warranty, express or implied, is given as to the absence of any such event.

2. We shall not be liable to compensate for any damages incurred by registered users in connection with the Service, except in cases of intentional or gross negligence on our part.

3. Registered Users shall be responsible for resolving any transactions, communications, disputes, etc. between them and other Registered Users or third parties in connection with the Service.

Article 13 (Confidentiality)

1. Registered Users and we shall not use any confidential information obtained from the other party in connection with the Service for any purpose other than the execution of this Agreement, or disclose or leak such information to any third party, unless we agree in writing in advance.

2. Notwithstanding the preceding paragraph, the following information shall not constitute confidential information.

(1) Information with the prior written consent of the disclosing party for disclosure to a third party.

(2) Information already in the public domain at the time of disclosure.

(3) Information that has become public knowledge through no fault of the recipient of the information after it has been disclosed.

(4) Information that was already lawfully in the possession of the recipient of the information at the time the disclosure was received.

3. Notwithstanding the provisions of the preceding two paragraphs, Registered Users and the Company may disclose the other party's confidential information pursuant to an order, demand, or request that is enforceable by law, court, or government agency.
However, upon such order, demand or request, you shall promptly notify the other party to that effect.

4. The provisions of this Article shall remain in effect and apply for a period of three (3) years after termination of the Agreement.

Article 14 (Handling of User Information)

1. Our handling of user information of registered users shall be governed by our Privacy Policy (https://info.kanjiquestlab.com/plicy). Registered users shall be deemed to have agreed to our handling of user information of registered users in accordance with said Privacy Policy. You agree to the handling of your information.

2. We may, at our discretion, use and disclose information, data, etc. provided by registered users to us as statistical information in a form that does not identify individuals, and registered users shall not object to this.

Article 15 (Modification of these Terms and Conditions, etc.)

We may change these Terms of Use in the following cases without agreeing with each individual registered user.
In such cases, we shall notify the registered users of the changes at least 14 days prior to the effective date of such changes by sending an e-mail or posting the changes on the Service website.
By using the Service after such effective date, the Registered User shall be deemed to have agreed to the changes in the Terms of Use.

(1) When the modification of these Terms and Conditions is in the general interest of the registered users.

(2) The modification of the Terms and Conditions is not contrary to the purpose for which the agreement was made and is reasonable in light of the necessity of the modification, the reasonableness of the content after the modification, the details of the modification, and other circumstances surrounding the modification.

Article 16 (Communication/Notice)

1. Inquiries and other communications or notifications from registered users to us concerning the Service, as well as notifications and other communications or notifications from us to registered users concerning changes to these Terms of Use, shall be made in the manner prescribed by us.

2. If we contact or notify the e-mail address or other contact information included in the registration information, the registered user will be deemed to have received such contact or notification.

Article 17 (Transfer of Status under Service Usage Contract, etc.)

1. Registered Users may not assign, transfer, grant a security interest in, or otherwise dispose of their status under the Terms of Use or their rights or obligations under the Terms of Use to any third party without the prior written consent of us.

2. In the event that we transfer the business of this service to another company, we may transfer the status of the user contract, rights and obligations under these Terms of Use, and registered user registration items and other customer information to the transferee of such business transfer, and the registered user shall be deemed to have consented to such transfer. The user shall be deemed to have agreed in advance to this paragraph. The business transfer stipulated in this paragraph shall include not only ordinary business transfers, but also corporate divestitures and any other cases in which a business is transferred.

Article 18 (Severability)

If any provision of these Terms and Conditions or any part thereof is determined to be invalid or unenforceable under the Consumer Contract Act or other laws or regulations, the remaining provisions of these Terms and Conditions and the remaining portions of any provision determined to be invalid or unenforceable in part shall remain in full force and effect.

Article 19 (Governing Law and Court of Jurisdiction)

1. These Terms of Use and the Service Use Agreement shall be governed by and construed in accordance with the laws of Japan.

2. The Tokyo District Court shall have exclusive jurisdiction in the first instance over any and all disputes arising out of or in connection with these Terms of Use or the Service Agreement.
